CHURCH ORGANISATION TERMS OF USE

These Terms of Use (“Terms”) govern the access to and use of the Digital Food Bank Voucher (DFBV) Program and the Welfr Platform available at welfr.com (“Platform”), operated by PRISMCHECK UK (“PRISMCHECK”, “we”, “our”, or “us”).

By registering for, accessing, or using the Platform, the subscribing church organisation (“Church”, “Organisation”, “you”, or “your”) agrees to be legally bound by these Terms.

1. PURPOSE OF THE PLATFORM

The DFBV Program is a digital welfare distribution solution designed to enable:

• Members and supporters (“Givers”) to purchase digital food vouchers;
• Eligible beneficiaries (“Beneficiaries”) to receive and redeem such vouchers;
• Participating churches and organisations to administer welfare distribution through the Welfr Platform.

The Platform provides digital tools for:

• Voucher management
• Beneficiary administration
• Welfare application management
• Reporting and analytics
• Merchant voucher redemption and settlement support

2. ELIGIBILITY

To use the Platform, the Church must:

• Be a legally recognised organisation;
• Provide accurate registration information;
• Have authority to enter into this agreement;
• Ensure all authorised administrators are at least 18 years old.

PRISMCHECK reserves the right to approve or reject any organisation registration at its sole discretion.

3. CHURCH ADMIN ACCOUNT RESPONSIBILITIES

The Church acknowledges and agrees that:

• It is responsible for all activities conducted through its administrator accounts;
• It must maintain the confidentiality and security of login credentials;
• It must ensure that only authorised personnel access the Platform;
• It must promptly notify PRISMCHECK of any unauthorised access or security concerns.

The Church remains fully responsible for actions carried out under its account.

4. ACCESS TO GIVER AND BENEFICIARY INFORMATION

The Church acknowledges that:

• Givers and Beneficiaries associated with the Church may provide personal information through the Platform;
• Such users may become affiliated with the Church’s account on the Platform;
• The Church may have access to certain contact and welfare-related information of affiliated users through its administrative dashboard.

The Church agrees that:

• All information accessed through the Platform shall be used solely for legitimate welfare administration and community support purposes;
• It shall not sell, distribute, misuse, or commercially exploit any user information;
• It shall comply with all applicable data protection and privacy laws, including the UK GDPR and Data Protection Act 2018;
• It shall implement appropriate safeguards to protect user data from unauthorised access or disclosure.

The Church further agrees not to contact users for unrelated marketing or commercial purposes without obtaining the appropriate consent.

5. DATA PROTECTION & PRIVACY

Each party shall comply with applicable data protection laws.

The Church acknowledges that:

• PRISMCHECK acts as the platform provider and data processor in certain circumstances;
• The Church may act as a data controller regarding information relating to its members, Givers, and Beneficiaries.

The Church agrees to:

• Obtain all necessary consents where required;
• Process personal data lawfully and fairly;
• Maintain adequate organisational and technical security measures.

PRISMCHECK’s handling of personal information is governed by the Platform Privacy Policy.

6. ACCEPTABLE USE

The Church agrees not to:

• Use the Platform for unlawful purposes;
• Provide false or misleading information;
• Abuse, manipulate, or fraudulently distribute vouchers;
• Attempt to gain unauthorised access to systems or accounts;
• Use the Platform in a way that may damage the reputation or operation of the DFBV Program;
• Use beneficiary information in a discriminatory or harmful manner.

PRISMCHECK reserves the right to suspend or terminate access where misuse is suspected.

7. VOUCHER DISTRIBUTION & ADMINISTRATION

The Church acknowledges that:

• Voucher distribution decisions remain the responsibility of the Church;
• PRISMCHECK does not independently assess beneficiary eligibility;
• The Church is responsible for ensuring fairness and integrity in welfare administration.

The Church agrees to use reasonable efforts to:

• Prevent misuse of vouchers;
• Maintain accurate records;
• Ensure vouchers are distributed appropriately.

8. FEES & PAYMENTS

The Church acknowledges that:

• Platform transaction fees may apply to voucher purchases and merchant redemption transactions;
• Applicable fees may be updated from time to time with reasonable notice.

Unless otherwise agreed in writing:

• Churches are not charged subscription fees during any pilot or introductory phase;
• Transaction-based fees are embedded within platform operations.

9. INTELLECTUAL PROPERTY

All rights, title, and interest in:

• The Welfr Platform;
• The DFBV Program;
• Associated software, branding, systems, content, and technology;

remain the exclusive property of PRISMCHECK UK.

The Church is granted a limited, non-exclusive, revocable right to use the Platform solely for authorised purposes under these Terms.

10. CONFIDENTIALITY

The Church agrees to keep confidential:

• Non-public operational information;
• Platform processes;
• Technical information;
• Business and commercial information disclosed by PRISMCHECK.

This obligation survives termination of these Terms.

11. AVAILABILITY & PLATFORM CHANGES

PRISMCHECK does not guarantee uninterrupted availability of the Platform.

We reserve the right to:

• Modify features;
• Improve functionality;
• Suspend services temporarily for maintenance;
• Introduce new features or operational processes.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• PRISMCHECK shall not be liable for indirect, incidental, or consequential losses;
• PRISMCHECK is not responsible for decisions made by Churches regarding beneficiaries or voucher allocation;
• PRISMCHECK shall not be liable for losses arising from misuse of accounts, credentials, or beneficiary data by the Church.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

13. INDEMNITY

The Church agrees to indemnify and hold harmless PRISMCHECK UK from claims, damages, losses, or liabilities arising from:

• Misuse of the Platform;
• Breach of these Terms;
• Unlawful processing of personal data;
• Fraudulent or improper voucher administration.

14. SUSPENSION & TERMINATION

PRISMCHECK may suspend or terminate access where:

• These Terms are breached;
• Fraudulent activity is suspected;
• The Platform is used unlawfully or improperly.

The Church may stop using the Platform at any time.

Upon termination:

• Access rights cease immediately;
• Certain records may be retained for legal, compliance, and audit purposes.

15. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. CHANGES TO THESE TERMS

PRISMCHECK reserves the right to update these Terms from time to time.

Continued use of the Platform following updates constitutes acceptance of the revised Terms.
